Dies trifft insbesondere auf Unternehmen des Rohstoffsektors zu, deren Tätigkeit weitreichende gesellschaftliche, wirtschaftliche und ökologische Auswirkungen mit sich bringt. Die OECD hat einen Leitfaden für die Erfüllung der Sorgfaltspflicht zur konstruktiven Stakeholderbeteiligung im Rohstoffsektor erstellt, um Unternehmen im Bergbau-, Öl- und Gassektor praktische Unterstützung im Umgang mit Herausforderungen bei der Akteursbeteiligung zu bieten. Der vorliegende Leitfaden ist Teil der Bemühungen der OECD, die praktische sektorspezifische Anwendung der Empfehlungen aus den OECD-Leitsätzen für multinationale Unternehmen zu fördern.

La complexité croissante de l'environnement induit une vision systémique des entreprises. Abstract

Le débat est animé concernant les entreprises multinationales qui bafouent les droits de l'homme lors de leurs activités à l'étranger et la question de l'accès de leurs victimes aux tribunaux est récurrente. Bien qu'elles soient centrales lorsqu'un procès est envisagé, les règles de procédure, techniques par nature, sont souvent reléguées au second plan. Il en va ainsi du forum non conveniens, une doctrine selon laquelle un juge canadien compétent peut renvoyer un litige devant le tribunal du pays hôte. Or, cette doctrine est problématique relativement à la responsabilité des entreprises multinationales : si la justice ne peut être rendue, la responsabilité sociétale des entreprises n'est-elle pas qu'un miroir aux alouettes au Canada ? Cet ouvrage présente la doctrine du forum non conveniens de manière historique, synthétique et critique et revient sur l'actualité entourant le phénomène de judiciarisation de la responsabilité sociale des grandes entreprises, tant au Canada qu'aux États-Unis et en Europe. En exposant les plus récentes décisions judiciaires canadiennes dans ce domaine, cet ouvrage démontre que les juges ont tendance à accueillir plus favorablement les victimes étrangères dès lors que la responsabilité extracontractuelle d'une entreprise multinationale pour des violations des droits de l'homme est invoquée.

Abstract

"Corporate social responsibility (CSR) has been developed into a crucial corporate and organizational issue around the world. It has been incorporated within various sectors, countries and includes many types of activities and dimensions. It is common ground that organizations are more inclined today to broader their performance focus form short-term oriented goals towards a long-term social, environmental and value-added perspectives. Under the framework of corporate governance, organizations and companies are motivated to promote fairness, transparency, ethics and accountability in their transactions, while concurrently maintaining enhanced standards of governance. This means that organizations and corporations must align their activities with community aspirations which is an issue falling within the sphere of CSR. Increased attention has been exerted on the organizations regarding their approach towards the needs of various stakeholders. However, a crucial issue that this book attempts to address is the association, intersection and the inter-relationship between governance and CSR within the EU region, not adequately established in the existing literature. The book will show that governance and CSR are highly connected. "In the last two decades, the quest for a widely accepted definition of social enterprise has been a central issue in a great number of publications. The main objective of the ICSEM Project on which this book is based was to show that the social enterprise field would benefit much more from linking conceptualisation efforts to the huge diversity of social enterprises than from an additional and ambitious attempt at providing an encompassing definition. Starting from a hypothesis that could be termed "the impossibility of a unified definition", the ICSEM research strategy relied on bottom-up approaches to capture the social enterprise phenomenon in its local and national contexts. This strategy made it possible to take into account and give legitimacy to locally embedded approaches, while simultaneously allowing for the identification of major social enterprise models to delineate the field on common grounds at the international level.
